1. Executive Summary
Sea Structures Incorporated uses patented technology to create floating structures capable of supporting many types of traditionally land-based real estate developments. The company was organized in late 1993.
Concept
The company markets two products and one service. Its existing sales are based on a 2.67-foot wide, 1.67-foot tall, polystyrene cylinder with certain design enhancements to make it practical as the basis for extensive floating structures. Each unit can support the weight of 400 pounds, making these one of the most cost-effective flotation devices available. These SeaCell[tm] units are currently in production. The company has several dozen in inventory, and owns not only patent pending rights to the design, but also the $10,000 stainless steel plastic injection mold for their manufacture.
The second product the company is marketing under this plan is a much larger SeaCell[tm] unit made of concrete. The larger cell is some 15 feet across and can hold 5,000 pounds weight. These larger cells are based on a patented design. The company holds the patent rights. It also has proprietary information on their production which significantly reduces their cost. The company expects to bring the larger SeaCell[tm] units to market in 1996.
Both flotation units utilize the same basic principle. Air trapped in a cylinder which is open at one end can be used to support a significant weight. By linking sets of the cylinders together, the system has sufficient stability to avoid tipping. The cellular arrangement is connected by a mechanism that permits each unit to move separately with waves, thus preventing long baseline waves from breaking up the structure supported.
The service the company markets is the design service necessary to modify existing flotation concepts for use with the SeaCell[tm] units, or to create entirely new concepts based on the companys technology. Together, these two products and this service represent a potentially multibillion dollar industry for the creation of new land.
Market
The market for the companys products includes traditional waterfront development, innovations on water surface transportation, and new land development. Potential applications include floating docks, boat lifts, bridges, boardwalks, Tiki bars, scuba platforms, rafts, fish farming platforms, houseboats, barges, industrial crane platforms, bleachers for watersport events, golf courses for waterfront resorts, floating swimming pools and party decks, private home sites, sea-based island city states, and mobile logistics bases for remote operations. Each of these potential applications represents a multimillion dollar industry already in existence. Tapping a small percentage of the current sales in just a few of these industries provides the company with significant returns for its shareholders.
Advantages
The SeaCell[tm] products, whether polystyrene or concrete, have many advantages over other flotation products. These include:

The company expects its patents and the proprietary nature of certain key information will provide significant barriers to the entry of competitors. Therefore, the company expects to position itself as the industry leader in the development of low cost flotation structures. As the market leader, the company intends to pursue a strategy of rapidly reducing its cost basis through volume production and significant research efforts. At the same time, the company plans to reduce its product prices, though at a less rapid pace. By consistently reducing its costs and prices, the company maintains its leading position in the market, helps accelerate demand for its product, and pulls customers from prospective competitors.
Key Personnel
The company principals are Richard D. Morris, President and Chairman of the Board; Eric Klien, Vice President for Administration; Jim Davidson, Vice President for US Marketing; and Mike MacRay, Vice President for International Marketing. These officers are joined by a board of directors including AJ Anderson, Dr. Faza, and Marc Joffe.
Together, these officers and directors represent significant talent in a diverse array of specialties which have significant application to the companys success. Morris is an architect and designer. Klien is a software programmer and Internet publicity specialist. Davidson is an MBA business consultant and marketing analysis expert. MacRay is a master of engineering science with broad experience in international engineering logistics and marketing. Anderson is a Merchant Master Captain and mechanical engineer. Faza is a doctor of structural engineering with unique expertise in composite reinforcing for concrete structures. Joffe is an MBA in finance, a software programmer with broad experience in banking and marketing who was Phi Beta Kappa in economics.
This team represents the necessary skills and talents to rapidly accelerate the companys marketing efforts, move the companys second product from development to market, and capitalize on the unique opportunities afforded by the companys distinctive competencies.

REDMOND, WASHINGTON -- In order to calm growing impatience among PC users concerning the repeated delays of its new Windows 95 operating system, Microsoft Corporation announced what it calls the "Cool User Program for Windows 95." To participate in this offer, a user pays US$10,000 at which time he or she will be placed in a cryogenic suspension. The user will then remain in a state of hibernation until about a week before the Windows 95 ship date.
"We expect that the users will need a few days to recuperate and acquaint themselves with the changes that will occur in society between the onset of cold sleep and the release of Windows 95," explained a Microsoft spokesman. These may include "the OJ Simpson trial ending, another momentous Congressional election, faster-than-light travel and possible leaps in human evolution."
Because Microsoft expects a large response to this offer, a vast area will be needed for the storage facility. "We have chosen the state of Utah," stated Microsoft,"because nobody lives there, anyway." Spokespeople for Novell and Wordperfect were reached for comment on this remark, but their words were not suitable for publication.
IBM corporation, which has previously responded to Microsoft promotions with competing offers for their OS/2 Warp said they would not be matching Microsoft's "Cool User" program. "Freeze people? What for? Warp has already been shipping for months," said a source who asked not to be identified.
Some industry analysts have wasted no time hailing Microsoft's plan as a "bold, innovative" move. In columnist Michael S. Brown's opinion column "M.S. Brown Knows" which appears in PC Weak, Brown claims,"IBM has missed the boat again with their failing OS/2 strategy. Users clearly want to be frozen in liquid Nitrogen and sealed in coffin-like units for an indeterminate period of time." Michael S. Brown made national headlines three years ago when he claimed that if "Windows NT didn't completely replace DOS in six months" he would chain himself to grating comedian Gilbert Godfried. Today he clarifies that "I didn't say *which* six months."
The cryogenic facility in Utah is expected to be on line April 1, 1995, but users wishing to beta test the system may do so for a reduced fee of US$3,000.
